Terms of Service

These Terms of Service ("Terms") govern your use of spikesecure.com and the design, development and related services provided by SpikeSecure Technologies Pvt. Ltd. ("SpikeSecure", "we", "us" or "our"). By using our website or engaging our services, you agree to these Terms.

1. Our services

We provide website design and development, e-commerce, mobile applications, CRM/ERP, SEO, business email setup and related digital services. The specific deliverables for your project are defined in the quote, proposal or statement of work we agree with you (the "Proposal"). If anything in these Terms conflicts with a signed Proposal, the Proposal prevails.

2. Quotes, scope & changes

We work on a fixed-scope basis: each Proposal lists the deliverables, timeline and price. Quotes are typically valid for 30 days. Work that falls outside the agreed scope is handled through a written change request, which may affect price and timeline and must be approved by both parties before we proceed.

3. Payments & invoicing

• Unless stated otherwise in the Proposal, an advance deposit is payable before work begins, with the balance billed against agreed milestones.
• All fees are exclusive of applicable taxes (including GST), which are charged as required by law.
• Invoices are payable by the due date stated. We may pause work on overdue accounts and charge reasonable costs of recovery for late payment.
• Final deliverables and source files are released on receipt of full and final payment.

4. Your responsibilities

• Provide accurate brief information, content, assets and access (e.g. domains, hosting, accounts) needed to deliver the project.
• Review and provide consolidated feedback within agreed timeframes; prolonged delays in feedback or content may shift the timeline.
• Ensure you hold the rights to any materials you supply to us.

5. Intellectual property

On full payment, you own the final deliverables produced specifically for you — including the source code of your custom build. We retain ownership of our pre-existing tools, libraries, frameworks and know-how, and grant you a licence to use them as part of the deliverables. We may reference the completed work and display it in our portfolio and marketing unless you ask us in writing not to.

6. Third-party services

Projects may rely on third-party products and services (hosting, domains, plugins, APIs, payment gateways, licences). These are governed by their own terms and fees, which are your responsibility unless the Proposal states we cover them. We are not liable for outages, changes or charges imposed by third parties.

7. Warranty & support

We provide a 30-day warranty from delivery to fix defects in the work we built, at no charge. The warranty does not cover changes to scope, new features, issues caused by third-party services, or modifications made by you or others. Ongoing maintenance and support can be arranged under a separate agreement.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to a project is limited to the fees you paid us for that project. We are not liable for indirect, incidental or consequential losses, loss of profit, data or goodwill. Nothing in these Terms limits liability that cannot be excluded under applicable law.

9. Confidentiality

We treat your non-public business information as confidential and use it only to deliver your project. We are happy to sign a mutual NDA at the start of an engagement on request.

10. Termination

Either party may terminate an engagement with written notice if the other materially breaches these Terms and does not remedy the breach within a reasonable period. On termination you remain liable for work completed and costs incurred up to the termination date, as described in our Refund Policy.

11. Governing law & jurisdiction

These Terms are governed by the laws of India. The courts of Coimbatore, Tamil Nadu have exclusive jurisdiction over any dispute, subject to any requirement to first attempt good-faith resolution. We may update these Terms from time to time; the "Last updated" date reflects the current version.
